1. Operator

The Platform is operated by Donizo OÜ, an Estonian company (Company Number: 17295063), registered at Narva mnt 5, 10117 Tallinn, Estonia ("Donizo," "we," "our," or "us").

2. Eligibility

• • You must be at least 18 years old and legally capable of entering into binding contracts.
• • Use of the Platform is not permitted where prohibited by law.

3. Services

The Platform provides:

• • Tools to generate proposals from voice, text, images, and files
• • Automated pricing, invoicing, and analytics features
• • Contractor–client communication and workflow management

Donizo is a technology provider only. We are not a contractor, employer, or agent of users.

4. Accounts

• • You must provide accurate and complete registration information.
• • You are responsible for securing your credentials and all activity on your account.
• • Donizo may suspend or terminate accounts that breach these Terms.

5. User Content

"User Content" means all data, voice inputs, files, proposals, communications, and materials you upload or generate.

• • You retain ownership of your User Content.
• • You grant Donizo a worldwide, royalty-free, sublicensable, transferable, irrevocable license to host, process, analyze, reproduce, and create derivative works from User Content to provide, improve, and scale the Platform.
• • Donizo may use aggregated and anonymized data indefinitely for analytics, AI training, and pricing intelligence.

6. Intellectual Property

• • Donizo owns all rights in the Platform, software, algorithms, models, pricing systems, and generated outputs.
• • Contractors may use generated proposals for business purposes, but may not copy, resell, or use them in any way that competes with Donizo.
• • Reverse-engineering or unauthorized use of the Platform is prohibited.

7. Payments

• • Fees for services are displayed in the Platform and may change at Donizo's discretion.
• • You are responsible for all applicable taxes, including VAT.
• • Donizo may suspend or terminate access for non-payment.

8. Disclaimers

• • The Platform is provided "as is" and "as available."
• • Donizo does not guarantee pricing accuracy, job outcomes, or contractor performance.
• • Contractors remain solely responsible for their own work, compliance, and contracts with clients.

9. Limitation of Liability

To the fullest extent permitted by law:

• • Donizo is not liable for indirect, incidental, special, or consequential damages.
• • Donizo's total liability for all claims in any 12-month period is capped at the greater of: (i) the total fees you paid to Donizo in that period, or (ii) €100.

10. Indemnity

You agree to indemnify and hold harmless Donizo, its affiliates, officers, and employees against all claims, damages, liabilities, and expenses arising out of your use of the Platform, your User Content, or disputes with other users.

11. Termination

• • You may close your account at any time.
• • Donizo may suspend or terminate access for violation of these Terms, security risks, or legal obligations.
• • Data licenses granted to Donizo survive termination in anonymized and aggregated form.

12. Governing Law & Disputes

• • These Terms are governed by the laws of Estonia.
• • Disputes shall be resolved exclusively by the Singapore International Commercial Court (SICC) or another jurisdiction designated by Donizo.
• • Users waive any right to class actions or jury trials.

13. Changes

Donizo may update these Terms at any time. Updated versions will be posted on donizo.com and app.donizo.com with a revised "Last Updated" date. Continued use of the Platform constitutes acceptance.

14. Miscellaneous

• • These Terms, together with our Privacy Policy, form the entire agreement between you and Donizo.
• • Failure to enforce any provision is not a waiver.
• • If any provision is invalid, the remaining Terms remain enforceable.
• • Donizo may assign its rights and obligations freely; you may not assign without written consent.
